IntlGroup's architecture includes Caritas, its developing public-interest layer spanning human dignity, health, financial literacy, community resilience, governance and access to opportunity.
The underlying controlled infrastructure exists today. Specific Caritas programs and qualification models remain prospective and are not currently operating programs.
Selected controlled positions are interoperable across IntlGroup and may support both commercial and public-interest applications.
A permanent acquisition of IntlGroup carries a mandate to develop and deploy the Caritas public-interest framework.
The form of deployment may evolve under future stewardship. The mandate remains.
Caritas is therefore not an optional ESG add-on to IntlGroup.
It is public-interest infrastructure embedded within the broader architecture.

IntlGroup will conduct competitive price discovery for its first 90-Day Exclusive Commercial Access Period beginning Q1 2027.
Qualified counterparties may compete for:

the entire nine-stack platform
IntlGroup retains ownership, control and operation of the infrastructure.
The counterparty receives the agreed period of commercial exclusivity.
It does not acquire the control layer.
Exclusive access creates two distinct considerations for a prospective counterparty.
First:
What is access to the infrastructure worth to the institution?
Second:
What is exclusivity worth when the alternative is another institution controlling that access?
That distinction applies across the platform.
For a London residential firm, the question may concern access across property, off-market, prime, freehold and geographic positions.
For a private bank or wealth manager, it may extend across capital, private wealth and fiduciary intent.
For hospitality, maritime, waterfront, mobility and other stacks, the underlying competitive question is the same.
Exclusivity has both an offensive and defensive value.
IntlGroup will not determine that value publicly in advance.
The competitive process will.
There is no public asking price for exclusive access.
There is no sealed-bid process.
Accepted bids and configurations will be published promptly.
Bidder identities remain confidential.
Participants can therefore observe the market forming without disclosure of competing institutions.
A participant may pursue one stack, multiple stacks or the entire platform.
As bids develop, qualified participants can determine whether to:
increase an existing proposal;
pursue another configuration;
compete for broader exclusivity;
or allow another participant to secure the opportunity.
The market determines what exclusive access is worth.
IntlGroup determines whether the offers are acceptable.

The applicable tier is determined by the date cleared funds are received.
The successful participant receives full credit for its deposit.
Scheduled-close unsuccessful deposits are non-refundable.
If IntlGroup elects to close an opportunity early, unsuccessful deposits associated with the affected opportunity will be refunded.

By the deadline, a participant must have an executed NDA, cleared participation deposit and accepted qualifying bid.
No new participants enter after the gate closes.

Qualified participants continue competitive bidding.
Scheduled Close
Final proposals are determined by email timestamp.
Tied proposals resume November 23 at 9:00 AM EST, with successive one-hour extensions until resolved.
The scheduled close is not an obligation to wait.
IntlGroup may award and close an individual stack, multiple stacks or the entire platform before any deadline.
An early proposal therefore carries a different standard.
That preserves the value of competitive price discovery while allowing a sufficiently compelling counterparty to remove an opportunity from the board.
